Terms of Service

Last updated: June 3, 2026

DRAFT for review — not yet legal advice. Before publishing, confirm: the legal entity name and address, the governing-law state and dispute-venue, the exact services and inclusions, and your liability and arbitration preferences. Have it reviewed by you and a qualified attorney (or a reputable legal-template service), then remove the noindex flag.

These Terms of Service (the “Terms”) govern your access to and use of the DelawareLLC.co website and the Delaware LLC formation and related services (the “Service”) operated by Topslice LLC (“DelawareLLC.co”, “we”, “us”). By using the Service or placing an order, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. You agree to provide accurate, current, and complete information and to keep it up to date.

The Service

We prepare and file your Delaware Certificate of Formation, apply for your EIN, provide a registered agent for the first year, prepare an operating agreement, and assist with bank-account and payment-processor applications and ongoing compliance tracking, as described on our site. The specific inclusions are those listed on the pricing and homepage at the time of your order.

Not legal, tax, or financial advice

DelawareLLC.co is a document-preparation and filing service. We are not a law firm, accountancy, or financial advisor, and we do not provide legal, tax, or financial advice or act as your attorney or agent for such purposes. Information on this site is general and may not fit your situation. For advice specific to your circumstances, consult a qualified professional.

Your responsibilities

You are responsible for the accuracy of the information you provide, for the lawful operation of your company, and for meeting your own tax and compliance obligations in the United States and your home country. You agree not to use the Service for any unlawful, fraudulent, or prohibited purpose.

Fees, billing, and taxes

Fees are shown at checkout. Government filing fees are included in the stated service price unless noted otherwise. Ongoing costs — such as the Delaware franchise tax and registered-agent renewal — are your responsibility and are disclosed before purchase. You are responsible for any taxes that apply to your purchase other than taxes on our income.

Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms.

Third-party services and approvals

The Service involves third parties, including government agencies, banks, and payment processors. Approval of bank accounts, payment processors, EINs, and government filings is at the sole discretion of those third parties and is not guaranteed by us. Turnaround times we describe are good-faith estimates, not guarantees, and can be affected by government and partner processing.

Intellectual property

The site, its content, and our trademarks are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, resell, or create derivative works from our content without permission.

Acceptable use

You agree not to misuse the Service, including by attempting to access it without authorization, interfering with its operation, submitting false information, or using it to facilitate illegal activity.

Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim relating to the Service is limited to the amount you paid us for the order giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless DelawareLLC.co and Topslice LLC from claims and expenses arising out of your use of the Service, your information, or your breach of these Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The governing law, venue, and any arbitration terms must be confirmed before publication.

Changes and termination

We may update these Terms from time to time; the “Last updated” date reflects the latest version, and continued use after changes means you accept them. We may suspend or terminate access for violation of these Terms or as required by law.
